Introduction

These Terms of Service ("Terms") govern your access to and use of the PortalPix mobile application ("PortalPix" or the "App") and related services (collectively, the "Services") operated by LENDORA-24 SQUARE LIMITED ("we", "us", or "our").

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

PortalPix is an AI-powered style transformation app. It allows you to upload a portrait photo, choose an artistic style, and generate stylized images or videos using our self-hosted AI generation service. Uploaded photos are processed on secure cloud servers located in the United States and are permanently deleted from our servers after generation and automated safety checks are complete. We do not use your uploaded photos, generated content, or other user content to train artificial intelligence models.

These Terms apply only to PortalPix and the Services identified above. Other products, websites, applications, or services may have their own terms and policies.

AI-generated results may vary. The App does not guarantee that generated images or videos will meet your expectations, be accurate, be suitable for a particular purpose, or be free from visual defects, artifacts, or unexpected content.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if that age is higher, to use PortalPix. PortalPix is not directed to children or minors, and the App is not part of Google Play's Families program.

3. No Account Registration; Installation Identifier

PortalPix does not require account registration. You do not sign in to use the App, and we do not collect your name, email address, or phone number. When you first launch the App, a random installation identifier is generated on your device and used to associate your in-app gallery and session state with your installation. You can view and copy this identifier at any time in the App's Settings screen.

You are responsible for maintaining the security of your device. You are responsible for all activity that occurs through your installation of the App.

Data Deletion

You may delete your data at any time:

Uninstalling the App does not delete server-side data. To erase your server-side data, use "Delete Account" before uninstalling, or contact us with your installation identifier. If you reinstall the App, a new random identifier is generated, and previously stored content cannot be linked to the new installation.

Please review our Privacy Policy (available at https://portalpix.biz/privacy and within the App) for information about how we collect, use, disclose, store, and delete information in connection with the Services. The Privacy Policy is incorporated into these Terms by reference.

"User Content" means photos you upload to PortalPix, generation parameters or style selections you provide, images or videos generated through the Services ("Generated Content"), and any other content or material you submit, upload, create, store, save, or share through the Services.

Your Responsibility for User Content

You are solely responsible for your User Content and for how you use, save, share, publish, or otherwise make use of Generated Content. You represent and warrant that:

You are responsible for any claims, losses, damages, royalties, fees, or liabilities arising from your User Content or from your use of Generated Content.

Ownership of User Content

As between you and us, you retain ownership of your uploaded photos and other User Content you provide. PortalPix does not claim ownership of your uploaded photos.

The copyright status of AI-generated content varies by jurisdiction and may change over time. We do not provide legal advice and do not guarantee that any generated image or video will be eligible for copyright protection, free from third-party claims, or usable for every purpose. Subject to these Terms and applicable law, we grant you a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, save, and share your Generated Content. You are responsible for determining whether and how you may use Generated Content in your jurisdiction and context.

Generated videos may include background music tracks bundled within the App. These music tracks are licensed to you only as embedded within your Generated Content; you may not extract, separate, or reuse the music tracks independently of the generated videos.

License You Grant to Us

By uploading or submitting User Content to PortalPix, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, transmit, process, reproduce, modify, and display your User Content solely as necessary to:

This license does not permit us to use your uploaded photos or Generated Content to train AI models. For uploaded photos, this license ends when generation and safety checks are complete and the photos are deleted from our servers. For Generated Content, this license continues only for as long as necessary to provide the Services to you or until the content or your server-side data is deleted, subject to legal obligations.

Content Safety, Reporting, and Enforcement

We implement automated content safety filtering for generation requests. We may reject, cancel, block, remove, disable access to, or refuse to process User Content or generation requests that we believe violate these Terms, applicable law, or our content safety standards.

PortalPix provides an in-app reporting mechanism: you can report or flag offensive or inappropriate AI-generated content without leaving the App, using the "Report" option on any generated image or video (or in the item's options menu). We review these reports and use them to improve our content filtering and moderation.

AI systems may still produce unexpected, inaccurate, offensive, or inappropriate results. You are responsible for reviewing Generated Content before saving, sharing, publishing, or otherwise using it.

6. Prohibited Behavior and Content

You agree to use the Services responsibly and lawfully. You may not use PortalPix to engage in any conduct that is illegal, harmful, abusive, deceptive, infringing, or otherwise objectionable.

Attempts to generate prohibited content may be blocked. We may investigate suspected violations and may cooperate with law enforcement, regulators, or rights holders where appropriate, including any reporting obligations required by law.

7. Limited License; Copyright and Trademark

PortalPix, including the App, software, AI technology, algorithms, models, design, interfaces, text, graphics, images, icons, trademarks, trade names, logos, style templates, bundled music tracks, and other materials provided by us or our licensors (collectively, "PortalPix Content"), is owned by us or our licensors and is protected by intellectual property and other laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, access, and use PortalPix on Android devices that you own or control, solely for your personal use and in accordance with these Terms and the Google Play Terms of Service.

You may not use PortalPix Content except as expressly permitted by these Terms. You may not remove, alter, or obscure copyright, trademark, or other proprietary notices in the App. All rights not expressly granted to you are reserved by us and our licensors.

No ownership interest in PortalPix, PortalPix Content, or our intellectual property is transferred to you by your use of the Services.

8. No Paid Features

PortalPix does not currently offer in-app purchases, subscriptions, virtual currency, or other paid digital content. If we introduce paid features in the future, we will update these Terms beforehand, and any purchases will be processed through Google Play and subject to Google Play's payment and refund policies.

9. Copyright Infringement and Rights Complaints

We respect intellectual property rights and expect users to do the same. We do not knowingly permit the Services to be used to infringe the rights of others.

If you believe that content available through PortalPix infringes your copyright, trademark, privacy right, publicity right, image right, or other legal right, please contact us at [email protected] with information sufficient for us to review your complaint.

Your notice should include, where applicable:

We may remove or disable access to content that we believe infringes rights or violates these Terms. We may also suspend or terminate access for users who repeatedly or seriously infringe rights.

Knowingly submitting false or misleading claims may result in legal responsibility for damages, costs, and fees.

10. Feedback

If you send us questions, comments, ideas, suggestions, bug reports, feature requests, creative concepts, or other feedback about PortalPix or the Services ("Feedback"), you agree that the Feedback is not confidential.

You grant us the right to use, copy, modify, publish, distribute, and otherwise exploit Feedback for any purpose, including improving or developing products and services, without compensation or obligation to you. If we choose to make Feedback public, we will not intentionally include your personal information unless you have consented or unless permitted by law.

11. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LENDORA-24 SQUARE LIMITED, its affiliates, officers, directors, employees, agents, licensors, suppliers, contractors, and representatives from and against any claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable attorney's fees, arising out of or related to:

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. Your indemnification obligations survive termination of these Terms and your use of the Services.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

We do not warrant or represent that:

AI technology is inherently probabilistic and may produce unexpected or inappropriate results. You use the Services and Generated Content at your own risk.

If you are dissatisfied with the Services or these Terms, your sole remedy is to stop using the Services, except where applicable law provides otherwise.

13. Limitation of Liability

To the fullest extent permitted by law, LENDORA-24 SQUARE LIMITED and its affiliates, officers, directors, employees, agents, licensors, suppliers, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or related to the Services, User Content, Generated Content, or these Terms, whether based on contract, tort, negligence, strict liability, warranty, or any other legal theory.

PortalPix currently offers no paid features. To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Services or these Terms will not exceed one hundred U.S. dollars (US $100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights. Some jurisdictions do not allow certain other exclusions or limitations of liability; in those jurisdictions, the limitations above apply only to the greatest extent permitted by law.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles, except where applicable consumer protection or other mandatory laws require otherwise.

If a dispute arises from or relates to these Terms or the Services, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. If the dispute cannot be resolved informally, either party may bring the dispute before the competent courts of Lagos, Nigeria, unless applicable law requires another forum.

If you are a consumer residing in the European Economic Area, the United Kingdom, or another jurisdiction with mandatory consumer protection laws, nothing in these Terms deprives you of the protection of the mandatory provisions of the law of your place of residence, or of your right to bring proceedings in the courts of your place of residence where applicable law so provides.

Nothing in these Terms limits either party's right to seek injunctive or equitable relief for actual or threatened misuse of intellectual property, unauthorized access, or other urgent harm.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Effective Date" at the top of these Terms. If we make material changes, we will notify you in advance through a prominent in-app notice and, where required by applicable law, ask for your affirmative consent before the changes take effect.

If you do not agree to the updated Terms, you must stop using the Services and may erase your data as described in Section 3. Where permitted by law, your continued use of the Services after the updated Terms become effective means that you accept the updated Terms.

16. Electronic Communications

By using PortalPix, you agree that we may provide notices and communications electronically, including through the App or by posting updated terms or policies. These electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

Because PortalPix does not collect your email address or other contact details, in-app notices and posted policies are our primary channels for operational communications, which may include security, policy, feature, or service-related notices. You may not opt out of essential operational communications while using the Services.

17. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, created risk or possible legal exposure for us or others, or used the Services in a harmful or unlawful manner.

You may stop using the Services at any time. You may also erase your server-side data through the "Delete Account" option in Settings.

You may not use, export, reexport, import, or transfer PortalPix or related technology except as authorized by applicable laws, including Nigerian law, United States export control and sanctions laws, and the laws of the jurisdiction in which you use the Services.

19. Additional Terms Applicable to Google Play

These Terms are between you and us, not Google. Google LLC is not responsible for PortalPix or its content and has no obligation to provide maintenance or support for PortalPix.

Your use of the Google Play Store, including downloading and updating PortalPix, is governed by the Google Play Terms of Service. PortalPix does not currently offer paid content; if paid features are introduced, purchases and refunds will be governed by Google Play's payment and refund policies.

We, not Google, are responsible for addressing claims relating to PortalPix, including product liability claims, legal or regulatory compliance claims, consumer protection claims, and intellectual property infringement claims. 22. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any additional terms presented in the App, constitute the entire agreement between you and us regarding PortalPix and supersede all prior or contemporaneous agreements or understandings regarding the Services.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment: You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, corporate transaction, or by operation of law.

No Agency: No agency, partnership, joint venture, employment, or franchise relationship is created by these Terms.

Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Language: These Terms are written in English. To the extent permitted by law, you waive any right to require localization or non-electronic record delivery and retention.
